Christian Dior Holding Company Shares Surge 17% After LVMH Reorganisation Plan
Shares of Christian Dior SE surged more than 17% on Thursday after luxury giant LVMH announced a restructuring of its controlling organisation. At 7:40 a.m. GMT, Christian Dior shares were up 17.42% at €428.80, while LVMH gained 0.96% to €400.70. The CAC 40 index, meanwhile, was down 0.14%. Christian Dior is LVMH’s main shareholder, holding a 42.47% stake in the luxury group.
The restructuring plan, presented to the Christian Dior board on Wednesday, involves merging several holding companies controlled by the Arnault family to strengthen the long-term continuity of its control over LVMH. The plan involves a series of absorptions and conversions, including the absorption of Financière Agache by Agache, followed by Agache being absorbed by Christian Dior. Christian Dior would then be converted into a partnership limited by shares and renamed Agache.
Under the proposed structure, the resulting company would hold a 49.76% stake in LVMH and 65.55% of its voting rights. The transaction would consolidate the Arnault family group’s holdings in LVMH at 50.33% of the share capital and 66.27% of voting rights. The partnership structure is commonly used by family-controlled businesses because it can facilitate succession, separate ownership from management and provide protection against hostile takeover attempts.
